<p>Combination of Stratasys and MakerBot expected to drive faster adoption of desktop 3D printing by extending the Stratasys product offering to include a full range of 3D printing capabilities</p>
<p>Brooklyn, N.Y., June 19, 2013 – Stratasys Ltd. (NASDAQ: SSYS), the leader in 3D printing and additive manufacturing, and MakerBot, the leader in desktop 3D printing, today announced the signing of a definitive merger agreement whereby privately held MakerBot has agreed to merge with a subsidiary of Stratasys in a stock-for-stock transaction.  MakerBot, founded in 2009, helped develop the desktop 3D printing market and has built the largest installed base of 3D printers in the category by making 3D printers highly accessible. The company has sold more than 22,000 3D printers since 2009. In the last nine months, the MakerBot Replicator 2 Desktop 3D Printer accounted for 11,000 of those sales.</p>
<p>The combination of these two industry leaders is expected to drive faster adoption of 3D printing for multiple applications and industries, as desktop 3D printers are becoming a mainstream tool across many market segments. Upon completion of the transaction, MakerBot will operate as a separate subsidiary of Stratasys, maintaining its own identity, products and go-to-market strategy. The merger enhances Stratasys’ leadership position in the rapidly growing 3D printer market, by enabling Stratasys to offer affordable desktop 3D printers together with a seamless user experience. The merger is expected to be completed during the third quarter of 2013; and it is subject to regulatory approvals and other conditions customary for such transactions.</p>
<p>The MakerBot 3D Ecosystem drives the accessibility and rapid adoption of their desktop 3D printers. It includes <a href="http://Thingiverse.com" x-apple-data-detectors="true" x-apple-data-detectors-type="link" x-apple-data-detectors-result="0">Thingiverse.com</a>, the largest collection of downloadable digital designs for making physical objects, and which is empowered by a growing community of makers and creators.  The MakerBot 3D Ecosystem also includes MakerWare software, MakerCare service, MakerBot Filament, the MakerBot Retail Store, the MakerBot 3D Photo Booth, and strategic partnerships with Autodesk, Adafruit, Nokia, OUYA, MoMA and Amazon.  MakerBot recently announced it will further extend its 3D Ecosystem with the MakerBot Digitizer desktop 3D scanner.</p>
<p>MakerBot’s products are increasingly used by prosumers, including engineers, designers, architects, manufacturers, entrepreneurs and individuals, for professional purposes, as well as for personal applications. Bre Pettis, CEO and co-founder of MakerBot, will continue to lead the company.  Pettis is a leader in the 3D printing industry, with a mission to drive further adoption of the company’s products.</p>

I am excited about the opportunities this combination will bring to our current and future customers.”</p>
<p>Transaction Details</p>
<p>Under the terms of the merger agreement, Stratasys will initially issue approximately 4.76 million shares in exchange for 100% of the outstanding capital stock of MakerBot.  The proposed merger has an initial value of $403 million based on Stratasys’ closing stock price of $84.60 as of June 19, 2013. MakerBot stakeholders also qualify for performance-based earn-outs that provide for the issue of up to an additional 2.38 million shares through the end of 2014.  The proposed earn-out payments have an initial value of up to $201 million based on the Stratasys closing stock price as of June 19, 2013. Those payments, if earned, will be made in Stratasys shares or cash (in an amount reflecting the value of the Stratasys shares that would have otherwise been issued at the relevant earn out determination date), or a combination thereof, at Stratasys’ discretion. The merger is expected to accelerate Stratasys’ growth rate and be slightly dilutive to Non-GAAP earnings per share in 2013, and accretive to Stratasys Non-GAAP earnings per share by the end of 2014.</p>
<p>Operating Structure</p>
<p>Stratasys intends for MakerBot to operate as a separate subsidiary, preserving its existing brand, management, as well as the spirit of collaboration it has built with its users and partners.  Together with Stratasys, MakerBot will continue to innovate, expand its product offering, provide attentive service to its users and make more 3D printing content available through <a href="http://Thingiverse.com" x-apple-data-detectors="true" x-apple-data-detectors-type="link" x-apple-data-detectors-result="1">Thingiverse.com</a>.</p>
<p>Upon completion of the merger, Stratasys and MakerBot will jointly develop and implement strategies for building on their complementary strengths, intellectual property and technical know-how, and other unique assets and capabilities. The opportunities could include accelerating MakerBot’s reach by leveraging Stratasys’ global infrastructure; cross-promotion of products into the installed base of the combined companies; and leveraging Stratasys’ extensive know-how in Fused Deposition Modeling (FDM) to benefit MakerBot’s product line.</p>
<p>MakerBot Overview </p>
<p>MakerBot is the leader in desktop 3D printing. Use of desktop 3D printers that provide affordable 3D printing access to individuals is growing rapidly. The merger will allow Stratasys to offer more accessible desktop 3D printers to meet customer demand and accelerate that growth. </p>
<p>MakerBot reports that during the first quarter of 2013, the company generated $11.5 million in total revenue, compared to $15.7 million for all of 2012. <a href="http://Thingiverse.com" x-apple-data-detectors="true" x-apple-data-detectors-type="link" x-apple-data-detectors-result="2">Thingiverse.com</a>, MakerBot’s online content portal for the sharing of user-generated digital design content, has more than 90,000 3D product files available for sharing, and generates more than 500,000 unique visitors and 1,000,000 downloads each month. The accessibility and ease-of-use of this 3D printing content helps promote system usage.</p>
<p>A majority of MakerBot’s sales are via direct-to-consumer channels on the company’s website.  MakerBot also sells through distributors outside the U.S. and has the MakerBot store, the first-ever 3D printing retail store, which serves as both a desktop 3D printing demonstration site and brick-and-mortar sales location in New York City.</p>
<p>Desktop 3D Printing Overview</p>
<p>Desktop 3D printer usage among design and engineering professionals is growing rapidly. Stratasys and MakerBot estimate that between 35,000 to 40,000 desktop 3D printers were sold in 2012. This number is estimated to double in 2013, as prosumers increasingly adopt desktop 3D printers for a broad range of applications.  Stratasys believes that the unique MakerBot user experience along with the affordability and accessibility of their products, materials and services will help to grow the rate of adoption for desktop 3D printers.  </p>

The app communicates with Lytro cameras, whose wireless capabilities can be activated with a free software update, letting camera owners preview and upload pictures to <a href="http://Lytro.com" x-apple-data-detectors="true" x-apple-data-detectors-type="link" x-apple-data-detectors-result="0">Lytro.com</a> directly from their iOS device while on the go, using either a cellular or Wi-Fi network. The 2013 CE Week Line Shows and Exhibits are scheduled for June 26-27 at the Metropolitan Pavilion and Altman Building in New York City. <p>The new KM1024i is piezo on-demand printhead for industrial use with independent drive system of each nozzle channel, while the existing KM1024 series use 3-cycle drive system. The independent drive system enables the KM1024i to realize approximately triple the speed of the existing models.</p>
<p>The higher drive speed has significantly upgraded the new printhead&#39;s performance for industrial-use inkjet printers designed primarily for ceramic printing or label printing that demands higher productivity. The printhead structure with high ink durability and the high-performance built-in heater supports stable print quality when used with high-viscosity ink for ceramic printing. The KM1024&#39;s slim and compact body contributes to development of smaller industrial printers. The environmentally-considerate KM1024i has reduced petroleum-based resource usage and toxic chemical substance usage approximately to one-third of existing models and been certified as &#8220;Green Products.&#8221;</p>
<p>Spain, Italy, China and South America have seen increasing demand in inkjet printing for building exterior materials and tiles, as the technology is suited for high-mix, small-lot printing. Expectations have risen for further growth of ceramic printing in those regions. Konica Minolta exhibited the KM1024i at drupa 2012, drawing widespread attention. <p>Los Angeles, CA – June 18, 2013 – Digital Film Tools, developer of visual effects software, today announced that its Film Stocks plug-in is now GPU-accelerated, making it the fastest-rendering version yet. Existing Film Stocks customers will receive this upgrade at no charge.</p>
<p>Film Stocks offers a wide range of preset looks as well as the necessary controls to create analog film stock presets from scratch, including color correction, curves, colored filters, sharpness, diffusion, vignettes and film grain. Apply one of the many presets and customize the settings, or create interesting looks and simulations and save them as presets to use in the future or share with colleagues.</p>

<p>The new ARCA SWISS tripod head Z1g+ excells with well balanced holding and moving properties. Safe holding support and subtle positioning are the crucial functions of a tripod head, according to ARCA SWISS. </p>
<p>Its newly engeneered Motion Related Gravity Control (MRGC) a variable and bi-directional drag, is independently operative on both axes and stabilized in all directions  –  and with horizontal movement, the resulting friction remains constant, whereas with vertical movements the friction increases progressively. Intelligent engeneering and precise manufacturing guarantee for a well distributed radial chucking. </p>
<p>With this in mind, the new monobll Z1g+ is, of course, not another primitive loosen/tighten clamp but a higly sophisticated device designed to simultanously give a strong hold while allowing smooth and  accurate positioning of the camera. </p>

<p>Offering the entire range of Leica products and accessories, photography books, printing and renting services, and carefully selected (third party) accessories, the Leica store provides a full service to photography enthusiasts. Billed as a unique lifestyle destination, the gallery invites customers into a tranquil environment of artwork and books, and even has an outdoor lounge where people can relax and enjoy a conversation or photo book.</p>

<p>The Gallery space was designed to celebrate photography and display exhibitions by an interesting mix of established and up-and-coming photographers. <p>COPENHAGEN and STOCKHOLM, June 17, 2013 &#8212; Phase One and Profoto today announced that their technical collaboration has produced an unprecedented integration of simultaneous image capture and light control.</p>
<p>Now photographers can link their Profoto studio light to the aperture or ISO settings of their DSLR or medium format camera system. While shooting tethered in Capture One Pro, any changes to the aperture on the camera will cause the light intensity of the studio light to automatically compensate an equivalent f-stop. For example, if the photographer switches from f/8 to f/5.6, the light will drop one f-stop, so that the image is not overexposed. The solution lets photographers easily define which groups of lights should be included in the linking, making it a powerful and flexible work tool.</p>
<p>“Capture One Pro was designed to satisfy the needs of professional photographers,” said Henrik O. Håkonsson, CEO &#038; President, Phase One. “Our collaboration with Profoto and the success of our capture and lighting integrations offer unprecedented lighting control during capture. This solution is especially great for portrait photographers who want to vary their depth of field; they can just turn the aperture dial and the light intensity will follow to ensure the right exposure.”</p>
<p>Anders Hedebark, CEO, Profoto added: “Since our initial capture and lighting integration projects with Phase One, photographers have encouraged us to do more in this area. Capture One Pro is a great platform from which to empower our customers with better tools to manage their professional light gear.”</p>
<p>Two years ago, the companies announced their first image capture and light control integration solution available in Capture One Pro 6. It provided remote access for wireless control of Profoto lighting equipment from within the Capture One application.</p>

<p>The new image capture and lighting integration solution is available now for Mac OS. It requires Capture One Pro 7.1.2 or Capture One DB (digital back) 7.1.2 or later and a Profoto Studio plugin for Capture One.
